Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the ClearBids platform at clearbids.ai ("Service"), operated by ClearBids LLC, a California limited liability company ("ClearBids," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

ClearBids is a software-as-a-service (SaaS) bid leveling tool designed for general contractors. The Service allows users to input subcontractor bids, analyze them using automated comparison algorithms, detect outliers and scope gaps, and generate professional leveling reports.

3. Account Terms

• You must provide a valid email address and create a password to register.
• You are responsible for maintaining the security of your account credentials.
• One person may not maintain more than one account.
• You must be at least 18 years old to use the Service.
• You are responsible for all activity that occurs under your account.

4. Subscription & Billing

ClearBids offers the following subscription plans:

• Free Trial: 14-day trial with full access. A payment method is required at signup but you will not be charged during the trial period. Your trial does not automatically convert to a paid subscription.
• Starter Plan: $49/month (or $39/month billed annually) — 5 projects per month, 5 bidders per trade, 2 team members.
• Pro Plan: $79/month (or $69/month billed annually) — unlimited projects, 10 bidders per trade, 5 team members.

All payments are processed securely through Stripe. You can manage your subscription, update your payment method, or cancel at any time through your account settings.

5. Automatic Renewal & Cancellation

In accordance with California Business and Professions Code Sections 17600–17606, we provide the following disclosures:

• Paid subscriptions renew automatically at the end of each billing cycle (monthly or annual) unless you cancel before the renewal date.
• You will be charged the then-current subscription price at each renewal.
• You may cancel your subscription at any time through your account settings or the Stripe Customer Portal. Cancellation takes effect at the end of your current billing period.
• No refunds are provided for partial billing periods, but you retain access to the Service until the end of your paid period.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Scrape, crawl, or use automated means to access the Service without our written consent.
• Attempt to gain unauthorized access to other users' accounts or data.
• Interfere with or disrupt the integrity or performance of the Service.
• Resell, sublicense, or redistribute access to the Service without authorization.
• Upload malicious code or content that could harm the Service or other users.

7. Intellectual Property

ClearBids owns all rights, title, and interest in and to the Service, including all software, algorithms, designs, trademarks, and documentation. You retain full ownership of any data you input into the Service, including bid information, project details, and company information. You grant ClearBids a limited license to process your data solely for the purpose of providing the Service to you.

8. Data Accuracy Disclaimer

The leveling results, scores, rankings, outlier flags, scope gap analysis, and recommendations generated by ClearBids are provided for informational purposes only. They are not a substitute for professional judgment, independent verification, or expert advice. ClearBids does not guarantee the accuracy, completeness, or reliability of any analysis. You are solely responsible for all bidding and contracting decisions made using information from the Service.

9. Limitation of Liability

To the maximum extent permitted by law, ClearBids LLC, its members, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service. Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to ClearBids in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Termination

• You may delete your account at any time through your account settings. Upon deletion, all your data will be permanently removed from our systems.
• We may suspend or terminate your account if you violate these Terms, with notice when reasonably possible.
• Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice on the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of California.
